Lusa - Business News - Portugal: EDP will pay any taxes that are due - CEO on dam controversy

London, Nov. 6, 2025 (Lusa) - EDP's executive chairman said on Thursday that the company had not yet been notified of the Public Prosecutor's decision on the sale of the dams to Engie, adding that the deal was "perfectly transparent" and "like so many others".

"On the subject of the dams, the truth is that we have not yet been notified. We probably know as much as you do, probably less, not least because we only see the newspapers and don't even have access to the documents," said Miguel Stilwell d'Andrade at a press conference during the presentation of EDP's strategic plan for 2026-2028.

He emphasised that, as such, he "can't comment on something he doesn't know about except through the newspapers", but reiterated that "it was a perfectly ordinary, transparent, clear transaction, just like so many other companies".

"This is the only possible structure for doing this kind of transaction - a demerger, creating a company with all the assets, the people, the systems, the contracts, and then selling that company," he added.

Miguel Stilwell d'Andrade also said that EDP is "always collaborating with the Tax Authority and the various entities involved" and that it "will pay the taxes that are required". However, it "reserves the right to decide according to what is determined".

Asked if the company intends to make a provision for the payment of the amount in question, the manager replied that he "doesn't feel the need" to do so: "It's something that's been going on for a few years, and we think that once the facts are presented, there will be no doubt."

The Public Prosecutor's Office has shelved suspicions of tax fraud in the sale of six EDP dams to Engie. Still, it has been concluded that the State is owed €335.2 million in "missing taxes", including Stamp Duty, other taxes and interest.

The inquiry, conducted by the Central Department of Investigation and Criminal Action (DCIAP), ruled out criminal offences in the operation, but determined that the Tax Authority should proceed to collect the "missing and unpaid" taxes.

The sale of the dams - Miranda, Bemposta, Picote, Foz Tua, Baixo Sabor and Feiticeiro - was agreed at the end of 2019 and finalised between December 2020 and January 2021, for €2.2 billion, through a corporate split and merger between companies created by EDP and the purchasing consortium led by Engie.
