Lusa - Business News - Angola: Former aide to Isabel dos Santos alerts regulators to 'false contract'

Lisbon,Sept.23,2020(Lusa)-Mário Leite da Silva, a former advisor to Angolan businesswoman Isabel dos Santos when the latter was president of Sonangol, has complained to international regulators about a "false contract" that in 2005 allegedly lost the Angolan oil company €193 million. "This contract is false and was officially brought to the attention of the Angolan Office of Public Prosecutions in a court case against the people of Isabel dos Santos and her husband Sindika Dokolo and against me," writes Leite da Silva in a complaint to international regulators, including the Bank of Portugal, which Lusa has seen.
The Portuguese executive, who was CEO of Banco de Fomento Angola when dos Santos had a controlling stake in the bank, said that he became aware of the "false contract" after analysing documents after he was subject to civil proceedings brought in the Angolan courts. At stake is an agreement between Sonangol - then led by Manuel Vicente, who was later to become vice-president of Angola, under the presidency of José Eduardo dos Santos, Isabel's father - and the Portuguese group Amorim Energia to take a stake in Galp, a Portuguese energy company. To that end, Sonangol set up the joint venture Esperaza with Exem Energy, controlled by Isabel dos Santos, with 60% held by Sonangol and the remaining 40% by the businesswoman.
Subsequently, Esperaza held a 45% stake in Amorim Energia, itself a holding company with a 33.34% stake in Galp; indirectly, Angolans thus controlled 15% of Galp.
According to the Angolan courts, Esperaza's initial capital of €193 million euros was entirely invested by the Angolan oil company, which is claiming in the court the debt that would correspond to the businesswoman.
Leite da Silva accuses Angolan prosecutors of acting "in subrogation" of Sonangol's interests in order to obtain, "as it managed to do," the seizure of the assets of Isabel dos Santos, of her husband, Congolese national Sindika Dokolo, and of himself. Esperaza was acquired in 2006 but the contract to create the joint venture, which Leite Silva says is false, "dates from 30 November 2005" and allegedly allowed the €193 million to be withdrawn from Sonangol. "The persons who appear to sign the said 'contract' on behalf of Esperaza (Fernando Santos, at the time legally responsible for Sonangol, and Francisco Lemos José Maria, at the time financial director of Sonangol but subsequently appointed chairman of the board of directors) had no employment relationship and/or powers of representation conferred by ABN AMRO Special Corporate Services B.V., at Esperaza on 30 November 2005 or any date prior to 30 January 2006," writes Leite da Silva, referring to the time Sonangol took a stake in Esperaza.
"Since the fake supply contract contains the signatures of the people who signed on behalf of Esperaza - not including their names at the place of their signatures (Fernando Santos and Francisco Lemos José Maria) we were able to prove that it was they who signed it by comparing the signatures of the alleged supply contract with other documents they signed," the executive adds.
In the same document, the manager stresses that the "contract" in question "includes the crime of falsification of documents and use of false documents" and indicates the "illicit withdrawal of Sonangol's public funds" and the practice of crimes of appropriation - embezzlement, abuse of trust or swindling - economic participation in business, "as well as the laundering of the respective amounts.
"I never knew, directly or indirectly, of the existence of the aforementioned contract," he writes. "I became aware in 2020 of the existence of this document." The complaint also states that the disbursements provided for in the contract in question "which amount to 193,465,406.23 euros" were made in full but that "the evidence of the banking movements underlying it ... was not included in the seizure process." In the letter sent to regulators, Leite Silva claims to have led on behalf of Amorim Holding II SGPS S.A. the sale of Esperaza to Angolan shareholders in 2006. The 19-page letter signed by Leite da Silva was sent from Lisbon on 11 September to the Bank of Portugal, the National Bank of Angola, De Nederlandsche Bank (the Netherlands central bank), the European Central Bank, ABN AMRO Bank, Banco Comercial Português, Bank of America, Standard Chartered Bank and the European Parliament.
The complainant calls on the regulators to carry out an urgent "reinforced investigation ... into the circumstances that give rise to the said 'contract', in order to ascertain acts of an illicit nature and who was responsible."
Annexed to the letter are more than a dozen documents, including the contract between Sonangol and Esperaza that Leite da Silva alleges to be "false".
Lusa has sought further explanations from Leite da Silva but he opted not to comment.
